Terms of Service

These Terms of Service ("Terms") govern access to and use of Tracebix's websites, applications, APIs, SDKs, and related services (the "Service"). By creating an account, accepting an invitation, purchasing a plan, or using the Service, you agree to these Terms on behalf of yourself and, when applicable, the organization you represent.
1. Eligibility and authority
You must be legally able to enter into these Terms and authorized to act for any organization you register or administer. You are responsible for accurate account information and for maintaining the confidentiality of your credentials.
2. The Service
Tracebix provides tools for event tracking, link attribution, contact activity, email rendering, behavioral analytics, notifications, and related workflows. Features may depend on plan, configuration, provider availability, and separately approved production gates.
Campaign Sending is not enabled in the initial production release. The presence of campaign, template, or rendered-email tooling does not authorize bulk or marketing email delivery.
3. Customer responsibilities
You control which websites, applications, projects, contacts, and signals you connect to Tracebix. You are responsible for:
- having a lawful basis and providing required notices or consent for tracking, pixels, links, browser storage, identity continuity, and communications;
- configuring capture rules and destinations so they do not collect prohibited or unnecessary information;
- obtaining permission to upload or process contact and event data;
- keeping API keys, publishable keys, webhook secrets, and account access secure; and
- complying with applicable privacy, consumer protection, marketing, employment, and communications laws.
4. Acceptable use
You may not use the Service to break the law; infringe rights; distribute malware; bypass access, rate, plan, or security controls; probe another tenant; send unauthorized communications; collect highly sensitive data unless expressly supported in writing; or interfere with the Service or its providers.
We may investigate suspected abuse and restrict access when reasonably necessary to protect users, providers, or the Service.
5. Customer data
As between you and Tracebix, you retain your rights in data you submit or collect through the Service ("Customer Data"). You grant Tracebix a limited right to host, process, transmit, back up, and otherwise use Customer Data only as needed to provide, secure, support, and comply with law for the Service.
You represent that you have the rights and authority needed for Tracebix to process Customer Data under these Terms. Our handling of personal information is described in the Privacy Policy.
6. Plans, billing, and changes
Paid plans are billed through Stripe using the price, interval, and terms shown at purchase. Subscription changes, proration, renewal, cancellation, and payment recovery follow the lifecycle displayed in the Service and Stripe Customer Portal. Taxes may apply.
Plan entitlements and usage are determined by Tracebix's server-authoritative records. A client response, pending payment, or provider delay does not grant a paid entitlement before the Service confirms it.
7. Third-party services
The Service relies on providers such as Google Firebase and Google Cloud, Stripe, Resend, Cloudflare, and Vercel. Their availability and terms may affect related functionality. Customer-configured domains, websites, inboxes, and webhook destinations remain the customer's responsibility.
8. Suspension and termination
You may stop using the Service at any time and may cancel a paid subscription through the supported billing controls. We may suspend or terminate access for material breach, security risk, unlawful use, nonpayment, or when required by a provider or law. Where practical, we will give notice and an opportunity to cure.
After termination, access ends and Customer Data is deleted or retained according to the applicable product workflow, legal obligations, backup lifecycle, and written agreement.
9. Confidentiality and feedback
Each party must protect non-public information received from the other and use it only for the relationship contemplated by these Terms. If you provide product feedback, you permit Tracebix to use it without restriction or payment, provided we do not identify you publicly without permission.
10. Service changes and availability
We may improve, modify, or discontinue features. We will use reasonable care to avoid materially reducing paid functionality without notice. Unless a separate written agreement says otherwise, the Service is provided without a service-level commitment.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." Tracebix disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. These disclaimers do not limit rights that cannot lawfully be waived.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data, arising from the Service. Any aggregate liability will be limited to the amount paid for the Service during the 12 months before the event giving rise to the claim, unless a separate agreement applies or law prohibits the limitation.
13. General terms
These Terms and any applicable order or written agreement form the agreement between you and Tracebix for the Service. If a provision is unenforceable, the remaining provisions continue. You may not assign the agreement without consent except in connection with a permitted corporate transaction. A failure to enforce a provision is not a waiver.
Applicable governing-law and dispute terms may be stated in an order form or separate written agreement. Before general public availability, independent legal review must approve the contracting entity and default governing-law terms for customers without such an agreement.
14. Changes and contact
We may update these Terms by posting a revised version and changing the "Last updated" date. Material changes may also be communicated through the Service or by email.
